Terms & Conditions

You must be at least 16 years old, and have reached the age of majority in your jurisdiction if you purchase paid services, to use the Services. If you use the Services on behalf of a company or other organisation, you represent that you are authorised to accept these Terms on its behalf, and “you” refers to that organisation.

The Services currently include:

• A directory of skills and connectors for AI tools, which is free to browse and use.
• A token optimization service designed to reduce the number of tokens used by your AI tools. This service is not yet available. Its features, pricing and any additional terms will be published before launch.

We may add, change, suspend or discontinue any part of the Services at any time. Where a change materially affects paid services you have purchased, we will give you reasonable notice.

Some features, such as posting reviews, require an account. You may register with an email address and password or by signing in with Google. You agree to provide accurate information, to keep your sign-in credentials confidential and to notify us promptly of any unauthorised use of your account. You are responsible for all activity that occurs under your account.

Skills and connectors listed on the Services are developed and maintained by third parties, not by us, unless we state otherwise. We provide the directory for information and convenience only. In particular:

• We do not guarantee the availability, accuracy, security, quality or fitness for purpose of any third-party skill or connector.
• Your installation and use of a skill or connector, including any access you grant it to your accounts or data, is at your own risk and is governed by the terms and policies of the third party that provides it.
• Ratings, reviews and descriptions are provided for guidance only and do not constitute an endorsement by us.

You should review the permissions requested by any skill or connector and only grant access you are comfortable with.

You retain ownership of the ratings, reviews, comments and other content you submit to the Services (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, display, translate and distribute it in connection with operating and promoting the Services.

You are responsible for your User Content and confirm that you have the rights necessary to submit it. Reviews must reflect your genuine experience. We may, but are not obliged to, review, edit or remove User Content that we consider to breach these Terms or to be otherwise inappropriate.

You agree not to:

• Use the Services in breach of any applicable law or regulation, or to infringe the rights of others.
• Post content that is false, misleading, defamatory, obscene, hateful or harassing, or reviews that are paid for, incentivised without disclosure or written by anyone with a conflict of interest.
• Upload or transmit viruses, malware or other harmful code.
• Attempt to gain unauthorised access to the Services, other accounts or our systems, or interfere with or disrupt the Services.
• Scrape, crawl or harvest data from the Services by automated means, except as permitted by any robots.txt file or with our prior written consent.
• Reverse engineer, resell or commercially exploit the Services, except as expressly permitted by these Terms.

When paid services become available, prices, billing intervals, any trial or introductory offers, and applicable taxes will be shown before you complete a purchase. Introductory prices apply for the period stated at the time of purchase, after which the regular price applies unless you cancel.

Payments are processed by a third-party payment provider and are subject to its terms. Unless stated otherwise, subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time, and cancellation takes effect at the end of the current billing period.

Except where required by applicable consumer protection law, fees are non-refundable. Nothing in these Terms limits any rights you have under the mandatory consumer laws of the country in which you live.

The Services, including their design, text, graphics, logos and software, are owned by or licensed to Prompter and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable licence to access and use the Services for your own personal or internal business purposes. The Prompter name and logo may not be used without our prior written permission.

If you send us suggestions or other feedback about the Services, you agree that we may use it without restriction or obligation to you.

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, or that any particular level of token savings will be achieved.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

To the fullest extent permitted by law, Prompter and its affiliates, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with the Services or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the Services or these Terms is limited to the greater of the amount you paid us for the Services in the twelve months before the event giving rise to the claim, or one hundred US dollars (US$100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for fraud or for death or personal injury caused by negligence.

To the extent permitted by law, you agree to indemnify and hold harmless Prompter and its affiliates, officers and employees from any claims, losses, liabilities and expenses (including reasonable legal fees) arising out of your User Content, your misuse of the Services or your breach of these Terms.

You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, if required by law, or if continuing to provide the Services to you would expose us or others to harm or liability. Sections that by their nature should survive termination, including those on User Content, intellectual property, disclaimers, limitation of liability, indemnity and governing law, will survive.

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. If the changes are material, we will provide reasonable notice before they take effect. By continuing to use the Services after the changes take effect, you agree to the updated Terms.

These Terms and any dispute arising out of or in connection with them are governed by the laws of the Republic of Indonesia, without regard to its conflict of law rules. Subject to any mandatory rights you have as a consumer in your country of residence, the competent courts of the Republic of Indonesia will have exclusive jurisdiction over any such dispute.

Before starting formal proceedings, you agree to contact us at hello@prompterhub.io and to try in good faith to resolve the dispute informally for at least thirty days.

These Terms, together with our Privacy Policy and any additional terms presented to you for specific services, are the entire agreement between you and us regarding the Services. If any provision is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. If these Terms are translated, the English version prevails in the event of any inconsistency.
